HotKup Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the HotKup platform, including the website at hotkup.com and myhotkup.com, web application, mobile application, and all associated services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

“HotKup,” “we,” “our,” or “us” refers to HotKup Incorporated, a Canadian corporation. “You” or “Subscriber” refers to the business entity or individual that subscribes to the Platform. “User” refers to any individual who accesses the Platform under a Subscriber’s account.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. Description of Service

HotKup is a cloud-based client relationship management and workflow automation platform designed for service businesses. The Platform provides tools for managing client records, workflows, tasks, documents, team collaboration, service desk operations, and related functionality.

We reserve the right to modify, update, or discontinue features of the Platform at any time. We will provide reasonable notice of material changes that affect your use of the Platform.

3. Account Registration and Security

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

4.1 Free Trial

New Subscribers may be eligible for a 14-day free trial. During the trial period, you will have access to the full functionality of the Platform. At the end of the trial, you must subscribe to a paid plan to continue using the Platform. We will not charge you without your explicit consent at the end of the trial.

4.2 Subscription Plans

HotKup is offered on a monthly subscription basis. Subscription fees are charged monthly in advance on the date you first subscribe or upgrade. Pricing is available on our website and may be updated from time to time with 30 days’ notice.

4.3 Payment

All fees are stated in the currency specified on your invoice. Payment is processed through our third-party payment provider. You authorise us to charge your designated payment method for the applicable subscription fees.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. There is no notice period required. No refunds will be issued for partial months. Upon cancellation, your access to the Platform will continue until the end of the billing period for which you have already paid.

4.5 Data After Cancellation

Following cancellation, your data will be retained for 90 days to allow you to export it or reactivate your account. After 90 days, your data will be permanently deleted in accordance with our Privacy Policy.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Platform in any way that violates applicable laws or regulations, including POPIA and PIPEDA.
  • Upload or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorised access to the Platform, other accounts, computer systems, or networks connected to the Platform.
  • Interfere with or disrupt the integrity or performance of the Platform.
  • Use the Platform to send unsolicited commercial messages (spam).
  • Reverse engineer, decompile, or disassemble any part of the Platform.
  • Use the Platform to store or process data in violation of any data protection law to which you are subject.
  • Resell, sub license, or provide access to the Platform to third parties without our written consent.

6. Intellectual Property

6.1 Our Intellectual Property

The Platform, including all software, design, text, graphics, logos, and other content, is the property of HotKup Incorporated and is protected by Canadian and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes during the term of your subscription.

6.2 Your Data

You retain all rights to the data you upload or create within the Platform (Client Data). By using the Platform, you grant us a limited licence to host, store, process, and transmit your data solely for the purpose of providing the Platform to you. We do not claim ownership of your data.

7. Availability and Support

We strive to keep the Platform available and reliable but do not guarantee uninterrupted or error-free operation. We may need to perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned maintenance.

Support is available via email at hello@myhotkup.com during business hours. We will make reasonable efforts to respond to support requests promptly.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchant-ability, fitness for a particular purpose, or non-infringement.
  • HotKup shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • Our total aggregate liability for any claims arising out of or relating to these Terms or your use of the Platform shall not exceed the total fees paid by you to HotKup in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify and hold harmless HotKup, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any claim that the data you upload or store within the Platform infringes the rights of a third party.
  • Your failure to comply with data protection laws in relation to Client Data you store within the Platform.

10. Termination

10.1 By You

You may terminate your subscription at any time by cancelling your account through the Platform or by contacting us at hello@myhotkup.com.

10.2 By Us

We may suspend or terminate your access to the Platform immediately if:

  • You breach any material provision of these Terms.
  • You fail to pay subscription fees when due.
  • We are required to do so by law.
  • We reasonably believe your use of the Platform poses a security risk or may harm other users.

Where practicable, we will provide notice before termination and an opportunity to remedy the breach.

10.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Your data will be retained for 90 days following termination, after which it will be permanently deleted. You may request an export of your data during this period.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. For Subscribers located in South Africa, South African consumer protection and data protection laws apply to the extent they provide additional rights that cannot be waived by contract.

Any dispute arising out of or relating to these Terms will first be attempted to be resolved through good faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the exclusive jurisdiction of the courts of Ontario, Canada, or, for South African Subscribers, the courts of the Republic of South Africa.

13. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and HotKup regarding your use of the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: HotKup shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or failure of third-party services.
